Effective date: January 1, 2025. These terms govern the use of acoustic dampening, vibration isolation, and resonance mitigation services provided by Decontrast.
Decontrast provides industrial acoustic engineering services, including decibel resonance audits, installation of high-density elastomeric dampeners, and soundproofing of ventilation pathways. Specific deliverables, timelines, and performance criteria are defined in each individual service agreement or statement of work.
The client agrees to provide safe access to the worksite, disclose all relevant operational data (e.g., machinery specifications, floor plans, ventilation layouts), and ensure that any structural modifications are approved by the facility owner. The client is responsible for preparing the area prior to installation, including clearing obstructions and shutting down equipment as instructed.
Our work is performed in accordance with standard industry practices for mechanical physics and acoustic engineering. While we aim to achieve measurable reductions in resonance and vibration, absolute silence or complete elimination of all structural noise is not guaranteed. Actual performance depends on site-specific conditions, including building construction, machinery condition, and operational variables.
To the fullest extent permitted by law, Decontrast's aggregate liability for any claim arising from or related to the services is limited to the amount paid by the client for the specific service that gave rise to the claim. We are not liable for indirect, incidental, or consequential damages, including production downtime, lost profits, or damage to equipment caused by pre-existing conditions. The client agrees to indemnify Decontrast against claims from third parties resulting from the client's negligence or breach of these terms.
Either party may terminate a service agreement with written notice if the other party materially breaches its obligations and fails to remedy the breach within 15 days of notification. Upon termination, the client shall pay for all work completed and materials procured up to the date of termination. Decontrast reserves the right to pause or stop work if site conditions present a safety hazard or if the client fails to meet payment obligations.
We may update these Terms of Service from time to time to reflect changes in our practices, legal requirements, or service offerings. The revised terms will be posted on this page with a new effective date. Continued use of our services after changes take effect constitutes acceptance of the revised terms. For significant changes, we will provide a more prominent notice.
